Terms and Conditions.

All orders received by Keyfactors are subject to the following terms and conditions, and are accepted on the understanding
that these conditions will prevail over any laid down by the customer on purchase orders. 

Keyfactors payment terms will override any other payment terms laid down by the customer on purchase orders unless
agreed in writing by Keyfactors. 

Individual quotes for products and services are only valid for 30 days from the date the quote is issued.

Payment. 

1. All orders will be invoiced on a pro-forma basis unless a credit account has been approved, or Keyfactors has agreed
   payment by an alternative method in writng. 
2. For customers with an approved credit account, invoices are due for payment within 30 days of the date of invoice. 
3. Keyfactors reserves the right to charge interest at the rate of 2% over The Bank of England base rate for every month
    or part of a month that an invoice remains unpaid after 30 days from the date of invoice. 
4. Keyfactors reserves the right to withdraw credit account facilities without notice from any customer that fails to pay
    invoices within 30 days of the date of invoice.
5. Where payment of an account is considered to be overdue, new orders will only be despatched when the account is
    deemed to be operating within the trading terms of Keyfactors. 
6. All prices are quoted exclusive of VAT which will be charged at the prevailing rate. 
7. All prices are quoted exclusive of carriage costs, which will be charged at cost on the invoice. 
8. All invoices for orders supplied to customers outside of the United Kingdom will be charged in Sterling and payments
    are to be settled in Sterling.

Delivery. 

1. Despatch methods are chosen by Keyfactors unless specified in writing by the customer. 
2. All goods shall be examined at the time of delivery with shortages or errors reported to Keyfactors in writing within 72 hrs. 
3. Losses or damages in transit are to be signed to that effect onto the delivery receipt and notification made in writing to
    Keyfactors and the carrier concerned immediately. All packaging materials should be retained for inspection by the carrier. 
4. Keyfactors cannot be held responsible for a failure to deliver, or for late delivery, by its appointed delivery agents. 
5. Keyfactors will not be held liable for 3rd party charges incurred by a customer as a result of goods not arriving on time,
    including any carriage, production or assembly charges of any kind. 
6. Keyfactors will not be held responsible for any charges accrued as a result of goods rejected on the grounds of quality control.
    Goods judged to be sub-standard will be replaced. 

Artwork. 

1. All artwork and subsequent work reproduced by Keyfactors, at the request of the customer, is done so on the understanding
    that the customer has sought and gained permission for such work to be undertaken by Keyfactors. 
2. The customer is responsible for ensuring that they have permission to commission the reproduction of any crest, logo or motif
    supplied to Keyfactors as artwork which may or may not be subject to copyright. 
3. All artwork proofs or alterations are to be confirmed by the customer by email or post.
4. The customer must signify in writing if a pre-production sample or artwork proof is needed before an order is manufactured. 
5. Keyfactors cannot accept any responsibility for mistakes arising from variable data supplied by the customer in a format not
    specified by Keyfactors.

Work undertaken. 

1. If an order has been confirmed and subsequently cancelled, all work undertaken by Keyfactors up until the time of cancellation
    shall be charged to the customer in full. 
2. Any artwork alterations which have been requested subsequent to any work undertaken by Keyfactors may be charged for at
    the discretion of Keyfactors. 
3. Due to the nature of manufacturing, Keyfactors reserves the right to supply and invoice up to 5% under or over the quantity
    ordered with regards to domed polyurethane badges. 
4. All Orders should be confirmed in writing by email or post. Keyfactors accept no responsibility for mistakes or errors arising
    due to orders being placed by verbal instruction only. 

Title of property. 

Ownership and full title of goods will remain solely with Keyfactors until such time that they are paid for in full with cleared funds
which shall include VAT and any interest if applicable. The customer shall store the goods separately from all other goods and
make them readily identifiable as goods supplied by Keyfactors.

Returns. 

To be eligible for a return, items must be unused, in the original packaging, and in the same condition that you received it. 
Some products are ineligible for return - 

1. Keyfactors cannot accept for return any items specifically manufactured by Keyfactors to the customers instructions,
    or printed with artwork supplied by the customer, unless the items are damaged or defective. 
2. Keyfactors cannot accept for return any custom made items where printed colours are incorrect unless the customer
    has supplied Pantone reference numbers for colours as specified in our artwork guidelines. 
3. Keyfactors cannot accept for return any custom made items which are printed incorrectly if the customer has supplied
    artwork in a different format to those specified in our artwork guidelines.

Once your return is received and inspected, we will send you an email to notify you that we have received your returned item.
We will also notify you of the approval or rejection of your refund. 
If you are approved, then your refund will be processed, and a credit will automatically be applied to your account, or credit
card or original method of payment, within 30 days.

Carriage costs are non-refundable. If you receive a refund, our carriage charges will be deducted from your refund.
The customer will be responsible for paying carriage costs for returning an item that is not damaged or defective. 

Keyfactors will not issue refunds for returns we do not receive. If you are returning an item, you should consider using a
trackable shipping service or purchasing shipping insurance. 

Our returns policy lasts 30 days from the purchaser's receipt of goods. 


Exchanges. 

Keyfactors will only exchange items if the originally supplied items are defective or damaged. If you need to exchange an item,
